SOFTWARE END USER LICENSE
AGREEMENT
This Softwa r e End Use r License Ag r eement (“Ag r eement”) is
between you (both the individual installing the P r og r am and any
single legal entity fo r which the individual is acting) (“You” o r
“You r ”) and PIONEER CORPORATION (“Pionee r ”).
TAKING ANY STEP TO SET UP OR INSTALL THE PROGRAM
MEANS THAT YOU ACCEPT ALL OF THE TERMS OF THIS LICENSE
AGREEMENT. PERMISSION TO DOWNLOAD AND/OR USE THE
PROGRAM IS EXPRESSLY CONDITIONED ON YOUR FOLLOWING
THESE TERMS. WRITTEN OR ELECTRONIC APPROVAL IS NOT
REQUIRED TO MAKE THIS AGREEMENT VALID AND
ENFORCEABLE. IF YOU DO NOT AGREE TO ALL OF THE TERMS
OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO USE THE
PROGRAM AND MUST STOP INSTALLING IT OR UNINSTALL IT,
AS APPLICABLE.
1 DEFINITIONS
1.1 “Documentation” means w r itten documentation,
s p ecifications and hel p content made gene r ally available
by Pionee r to aid in installing and using the P r og r am.
1.2 “P r og r am” means all o r any p a r t of Pionee r ’s softwa r e
licensed to You by Pionee r unde r this Ag r eement.
2 PROGRAM LICENSE
2.1 Limited License. Subject to this Ag r eement’s r est r ictions,
Pionee r g r ants to You a limited, non-exclusive, non-
t r ansfe r able, license (without the r ight to sublicense):
(a) To install a single co p y of the P r og r am on the ha r d
disk d r ive of You r com p ute r , to use the P r og r am only
fo r You r p e r sonal p u rp ose com p lying with this
Ag r eement and the Documentation (“Autho r ized
Use”);
(b) To use the Documentation in su pp o r t of You r
Autho r ized Use; and
(c) To make one co p y of the P r og r am solely fo r backu p
p u rp oses, pr ovided that all titles and t r adema r k,
co p y r ight and r est r icted r ights notices a r e r e pr oduced
on the co p y.
2.2 Rest r ictions. You will not co p y o r use the P r og r am o r
Documentation exce p t as ex pr essly p e r mitted by this
Ag r eement. You will not t r ansfe r , sublicense, r ent, lease
o r lend the P r og r am, o r use it fo r thi r d- p a r ty t r aining,
comme r cial time-sha r ing o r se r vice bu r eau use. You will
not You r self o r th r ough any thi r d p a r ty modify, r eve r se
enginee r , disassemble o r decom p ile the P r og r am, exce p t
to the extent ex pr essly p e r mitted by a pp licable law, and
then only afte r You have notified Pionee r in w r iting of You r
intended activities. You will not use the P r og r am on
multi p le pr ocesso r s without Pionee r ’s pr io r w r itten
consent.
2.3 Owne r shi p . Pionee r o r its licenso r r etains all r ight, title
and inte r est in and to all p atent, co p y r ight, t r adema r k,
t r ade sec r et and othe r intellectual pr o p e r ty r ights in the
P r og r am and Documentation, and any de r ivative wo r ks
the r eof. You do not acqui r e any othe r r ights, ex pr ess o r
im p lied, beyond the limited license set fo r th in this
Ag r eement.
2.4 No Su pp o r t. Pionee r has no obligation to pr ovide su pp o r t,
maintenance, u p g r ades, modifications o r new r eleases
fo r the P r og r am o r Documentation unde r this Ag r eement.
3 WARRANTY DISCLAIMER
THE PROGRAM AND DOCUMENTATION ARE PROVIDED “AS
IS” WITHOUT ANY REPRESENTATIONS OR WARRANTIES,
AND YOU AGREE TO USE THEM AT YOUR SOLE RISK. TO THE
FULLEST EXTENT PERMISSIBLE BY LAW, PIONEER
EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND
WITH RESPECT TO THE PROGRAM AND DOCUMENTATION,
WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING
OUT OF COURSE OF PERFORMANCE, COURSE OF DEALING
OR USAGE OF TRADE, INCLUDING ANY WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, SATISFACTORY QUALITY, ACCURACY, TITLE OR
NON-INFRINGEMENT.
4 DAMAGES AND REMEDIES FOR BREACH
You ag r ee that any b r each of this Ag r eement’s r est r ictions
would cause Pionee r i rr e p a r able ha r m fo r which money
damages alone would be inadequate. In addition to damages
and any othe
r r emedies to which Pionee r may be entitled, You
ag r ee that Pionee r may seek injunctive r elief to pr event the
actual, th r eatened o r continued b r each of this Ag r eement.
5 TERMINATION
Pionee r may te r minate this Ag r eement at any time u p on You r
b r each of any pr ovision. If this Ag r eement is te r minated, You
will sto p using the P r og r am, p e r manently delete it f r om the
com p ute r whe r e it r esides, and dest r oy all co p ies of the
P r og r am and Documentation in You r p ossession, confi r ming
to Pionee r in w r iting that You have done so. Sections 2.2, 2.3,
2.4, 3, 4, 5 and 6 will continue in effect afte r this Ag r eement’s
te r mination.
6 GENERAL TERMS
6.1 Limitation of Liability. In no event will Pionee r o r its
subsidia r ies be liable in connection with this Ag r eement
o r its subject matte r , unde r any theo r y of liability, fo r any
indi r ect, incidental, s p ecial, consequential o r p unitive
damages, o r damages fo r lost pr ofits, r evenue, business,
savings, data, use, o r cost of substitute pr ocu r ement,
even if advised of the p ossibility of such damages o r if
such damages a r e fo r eseeable. In no event will Pionee r ’s
liability fo r all damages exceed the amounts actually p aid
by You to Pionee r o r its subsidia r ies fo r the P r og r am. The
p a r ties acknowledge that the liability limits and r isk
allocation in this Ag r eement a r e r eflected in the P r og r am
pr ice and a r e essential elements of the ba r gain between
the p a r ties, without which Pionee r would not have
pr ovided the P r og r am o r ente r ed into this Ag r eement.
6.2 The limitations o r exclusions of wa rr anties and liability
contained in this Ag r eement do not affect o r pr ejudice
You r statuto r y r ights as consume r and shall a pp ly to You
only to the extent such limitations o r exclusions a r e
p e r mitted unde r the laws of the ju r isdiction whe r e You a r e
located.
6.3 Seve r ability and Waive r . If any pr ovision of this Ag r eement
is held to be illegal, invalid o r othe r wise unenfo r ceable,
that pr ovision will be enfo r ced to the extent p ossible o r , if
inca p able of enfo r cement, deemed to be seve r ed and
deleted f r om this Ag r eement, and the r emainde r will
continue in full fo r ce and effect. The waive r by eithe r p a r ty
of any default o r b r each of this Ag r eement will not waive
any othe r o r subsequent default o r b r each.
