END-USER LICENSE AGREEMENT
for
SILICON STORAGE APPLIANCE SOFTWARE AND/OR FIRMWARE
IMPORTANT - READ CAREFULLY
DO NOT INSTALL YOUR SILICON STORAGE APPLIANCE UNTIL YOU HAVE CAREFULLY READ THIS LICENSE AGREEMENT AND UNDERSTAND
ALL OF THE RIGHTS AND RESTRICTIONS DESCRIBED IN THIS DATADIRECT NETWORKS END-USER LICENSE AGREEMENT (“EULA”) AND
AGREE TO ITS TERMS. INSTALLATION OF THE SOFTWARE AND/OR FIRMWARE IS A SYMBOL OF YOUR SIGNATURE THAT YOU ACCEPT THE
TERMS OF THE EULA.
This EULA is a legal agreement between you (either an individual or a single entity) and DataDirect Networks Corporation (“DATADIRECT”) for the
DATADIRECT software and/or firmware accompanying this EULA, which includes the accompanying computer software and/or firmware, and may
include associated media, printed materials and any “online” or electronic documentation (“SOFTWARE AND/OR FIRMWARE”). By installing the
SOFTWARE AND/OR FIRMWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not install or
use the SOFTWARE AND/OR FIRMWARE. If you do not agree to the terms of this EULA, do not install the SOFTWARE AND/OR FIRMWARE and
promptly return it within 30 days to the place of purchase for a full refund of all money paid for the product. NO REFUND WILL BE PAID IF THE
SOFTWARE AND/OR FIRMWARE HAS BEEN INSTALLED. By installing the SOFTWARE AND/OR FIRMWARE, you and the manufacturer
(“DATADIRECT”) agree as follows:
SOFTWARE AND /OR FIRMWARE PRODUCT LICENSE
The SOFTWARE AND/OR FIRMWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and
treaties. The SOFTWARE AND/OR FIRMWARE is licensed, not sold, assigned or transferred. DATADIRECT shall own all intellectual property rights in
and to the SOFTWARE AND/OR FIRMWARE.
1. Grant of License. This EULA grants you the following rights:
Subject to your compliance with the terms and conditions of this EULA, DATADIRECT hereby grants you the following limited, nonexclusive and
nontransferable rights in and to the SOFTWARE AND/OR FIRMWARE. You and only you shall have the right to:
² Execute the SOFTWARE AND/OR FIRMWARE only on a single Silicon Storage Appliance.
²Make one copy of the SOFTWARE AND/OR FIRMWARE in machine-readable form, provided that such copy is used only for backup purposes and
the DATADIRECT copyright notice is reproduced on the backup copy.
² Reservation of Rights. All rights not expressly granted are reserved by DATADIRECT.
2. Obligations and Restrictions.
a) You shall be responsible for any breach of this EULA by any party to whom you disclose the SOFTWARE AND/OR FIRMWARE or permit the
use thereof.
b) You shall NOT distribute copies of the SOFTWARE AND/OR SOFTWARE from device to another over a network, or via modem.
c) The SOFTWARE AND/OR FIRMWARE contains trade secrets that are wholly owned by DATADIRECT. You may NOT decompile, reverse
engineer, translate, disassemble, or otherwise reduce the SOFTWARE AND/OR FIRMWARE to a human understandable format.
d) You must at all times use reasonable efforts to maintain the confidentiality of the SOFTWARE AND/OR FIRMWARE and may not sublicense,
transfer, sell, rent, disclose, sell, assign, make available or otherwise communicate the SOFTWARE AND/OR FIRMWARE to any other person or entity,
nor use the SOFTWARE AND/OR FIRMWARE except as expressly authorized herein.
e) The SOFTWARE AND/OR FIRMWARE may only be used in connection with a single unit of the Silicon Storage Appliance.
f) The SOFTWARE AND/OR FIRMWARE may only be used by you, and you shall not permit the SOFTWARE AND/OR FIRMWARE to be used by
or for the benefit of any other party, nor use the SOFTWARE AND/OR FIRMWARE at any time after the EULA terminates.
You and DATADIRECT agree that the provisions contained herein, including the License Restrictions, are for the benefit of DATADIRECT. DATADIRECT
shall be entitled to injunctive relief, as well as such further rights and remedies as it may have at law or equity, against unauthorized disclosure or use of
the SOFTWARE AND/OR FIRMWARE, or against other breach or threatened breach of these provisions.
To use this SOFTWARE AND/OR FIRMWARE for any other purpose than that outlined in this EULA is strictly prohibited. YOU MAY NOT MODIFY,
ADAPT, TRANSLATE, RENT, LEASE, RESELL FOR PROFIT, DISTRIBUTE, NETWORK OR CREATE DERIVATIVE WORKS BASED UPON THE
SOFTWARE AND/OR FIRMWARE OR ANY PART THEREOF.
3. Termination. This EULA is effective until terminated. This EULA will terminate immediately, without any notice from DATADIRECT if you fail to
comply with any of its provisions. Upon termination you must destroy the SOFTWARE AND/OR FIRMWARE and all copies in your possession or control.
You may terminate this EULA at any time by destroying the SOFTWARE AND/OR FIRMWARE and all copies in your possession or control.
4. Copyright. All title and copyrights in and to the SOFTWARE AND/OR FIRMWARE, the accompanying printed materials, and any copies of the
SOFTWARE AND/OR FIRMWARE, are owned by DATADIRECT or its suppliers. All title and intellectual property rights in and to the content which may
be accessed through use of the SOFTWARE AND/OR FIRMWARE is the property of the respective content owner and may be protected by applicable
copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. If this SOFTWARE AND/OR FIRMWARE
