Export Law Assurances. You agree and certify that the SOFTWARE AND/OR FIRMWARE will not be transferred or re-exported, directly or

AND/OR FIRMWARE PROVE DEFECTIVE, YOU (AND NOT DATADIRECT, ITS DISTRIBUTORS, DEALERS OR EMPLOYEES) ASSUME THE ENTIRE

COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF

DISTRIBUTORS, DEALERS OR EMPLOYEES BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR

CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFIT OR GOODWILL,

BUSINESS INTERRUPTION, WORK STOPPAGE, LOSS OF BUSINESS INFORMATION, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL

OTHER COMMERCIAL OR PECUNIARY DAMAGES OR LOSSES OCCASIONED BY THE USE OF OR INABILITY TO USE THE SOFTWARE AND/OR

FIRMWARE PRODUCT TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN NO EVENT WILL DATADIRECT BE LIABLE FOR ANY DAMAGES IN

EXCESS OF DATADIRECT’S LIST PRICE FOR THE SPECIFIC TYPE OF LICENSE PURCHASED FOR THE SOFTWARE AND/OR FIRMWARE, EVEN IF

DATADIRECT SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

Government End Users. If you are a United States government end user, this license of the SOFTWARE AND/OR FIRMWARE conveys only

“RESTRICTED RIGHTS,” and its use, disclosure, and duplication are subjects to DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial

Computer software-Restricted Rights at 48 CFR 52.227-19, as applicable. This SOFTWARE AND/OR FIRMWARE was developed at private expense, and no

part of it was developed with government funds. The SOFTWARE AND/OR FIRMWARE is a trade secret of DATADIRECT for all purposes of the Freedom

of Information act, and its “commercial computer software” subject to limited utilization as provided in the contract between DATADIRECT and the

government entity, and in all respects is proprietary data belonging solely to DATADIRECT. Government personnel using the SOFTWARE AND/OR

FIRMWARE, other than under a DOD contract or GSA Schedule, are hereby on notice that the use of this SOFTWARE AND/OR FIRMWARE is subject to

restrictions that are the same as, or similar to, those specified above.

General. This license will be construed under the laws of the state of California, except for that body of law dealing with conflicts of laws, if obtained

in the United States, or the laws of jurisdiction where obtained if obtained outside the United States. If any provision of this license is held by a court of

competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this

license will remain in full force and effect.

Complete Agreement. This EULA constitutes the entire agreement between the parties with respect to the use of the SOFTWARE AND/OR

FIRMWARE, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter.
