manual. Licensee agrees that the distribution and import, export and re-
export of the Software is in compliance with all applicable laws,
regulations, orders or other restrictions.
X.
APPLICABLE LAW
The validity, interpretation and performance of this License shall be
controlled by and construed under the laws of the United States of America
and the state of Oregon, U.S.A., except for the UN convention on Contracts
for the International Sale of Goods, which is expressly rejected. Any claim
arising out of this License shall be brought in the state or federal courts in
the state of Oregon, U.S.A., and each party consents to the jurisdiction of
such courts.
XI.
SEVERABILITY
If any of the provisions or portions thereof of this License are determined
to be illegal, invalid or unenforceable, for any reason, then such provision
shall be deemed to be stricken for the purpose of the dispute in question,
and all other provisions shall remain in full force and effect.
XII.
NOTICES
Notices required or permitted by this License must be sent to the address
set forth in the signature block below, or to such other address as the parties
may from time to time by written notice provide. Notice is effective when
actually received if sent by any means that leaves a hard copy record in the
hands of the recipient. If sent by registered or certified mail, postage
prepaid, return-receipt requested, notice shall be deemed effective on the
date the return receipt shows the notice was accepted, refused or returned
undeliverable.
