E xcept as indicated otherwise be l ow, Di n ex wa r-
ra nts that the Wa rra nted Prod u cts will be free from defe cts in title,
m ate rial and wo rkmanship under normal use and serv i ce and will pe r-
fo rm substantially in acco rd a n ce with Di n ex’s wri t ten te c h n i cal spe c i f i-
cations for the Wa rra nted Prod u cts (as such spe c i f i cations exist on the
d ate the Wa rra nted Prod u cts are shipped) (the “ Prod u ct Spe c i f i cat i o n s” ) .
This wa rra nty covers both parts and labor and is available only to end-
users (the “Cu s to m e r s”) that purchase the Wa rra nted Prod u cts fro m
Di n ex or its authori zed distri b u to r s. For the purpose of these wa rra nt i e s,
a defe ct is dete rmined by Di n ex after its good faith inve s t i g at i o n .
Di n ex So ftwa re.
In addition to the other wa rra nties set fo rth here i n ,
with re s pe ct to Di n ex’s licensed softwa re, Di n ex wa rra nts that it has the
ri g ht to license or sublicense the softwa re to Cu s tomer for the purpo s e s
and subject to the te rms and conditions set fo rth in Di n ex’s standard
te rms and co n d i t i o n s.

Di n ex’s wa rra nty for its supplies and acce s-
s o ries that are shipped with Wa rra nted Prod u cts is cove red by a sepa-
rate wa rra nty state m e nt, which is available at

Di n ex wa rra nts that any serv i ce it provides to Cu s tomer will
be pe rfo rmed by trained individuals in a wo rkm a n l i ke manner.
D U RAT I O N
Di n ex provides a one year wa rra nty for the Wa rra nted Prod u ct s.The wa r-
ra nty pe ri od begins on the date the Wa rra nted Prod u cts are shipped to
Cu s to m e r.The wa rra nty pe ri od for any Wa rra nted Prod u ct or part fur-
nished to co rre ct a wa rra nty failure will be the unex p i red te rm of the
wa rra nty applicable to the re p a i red or re p l a ced Wa rra nted Prod u ct .
R E M E D I E S
If Cu s tomer promptly notifies Di n ex of Cu s to m e r’s wa rra nty claim and
m a kes the Wa rra nted Prod u ct available for serv i ce, Di n ex will, at its
o p t i o n , either repair or re p l a ce (with new or exchange re p l a ce m e nt
p a rts) the non-co n fo rming Wa rra nted Prod u ct or parts of the
Wa rra nted Prod u ct .With re s pe ct to Di n ex’s licensed softwa re, Di n ex
w i l l , at its option, either co rre ct the non-co n fo rm i ty or re p l a ce the
a p p l i cable licensed softwa re.Wa rra nty serv i ce will be pe rfo rmed with-
out charge from 8:00 a.m. to 5:00 p. m .E S T, Mo n d ay - Fri d ay, exc l u d i n g
Di n ex holidays, and outside those hours at Di n ex’s then prevailing ser-
v i ce rates and subject to the ava i l a b i l i ty of pe r s o n n e l .With re s pe ct to
Di n ex’s wa rra nty for the serv i ces it provides to Cu s to m e r, Cu s to m e r’s
exc l u s i ve re m e dy shall be the re - pe rfo rm a n ce of the serv i ces by Di n ex .
The fo regoing remedies are Cu s to m e r’s exc l u s i ve remedies and Di n ex’s
sole liability for wa rra nty claims under this wa rra nty state m e nt .This
exc l u s i ve re m e dy shall not have failed of its essential purpose (as that
te rm is used in the Un i fo rm Co m m e rcial Code) as long as Di n ex
remains willing to repair or re p l a ce defe ct i ve Wa rra nted Prod u cts with-
in a co m m e rcially reasonable time after being notified of Cu s to m e r’s
wa rra nty claim.

THESE WA R RANTIES ARE EXC LUSIVE AND IN LIEU OF ALL OTHER WA R-
RA N T I E S ,WHETHER W R I TT E N , O RA L , E X P R E S S E D, IMPLIED OR STAT U TO-
RY. E XCEPT AS PROVIDED HEREIN, NO EXPRESS OR IMPLIED WA R-
RA N T I E S , I N C LUDING BUT NOT LIMITED TO IMPLIED WA R RANTIES OF
M E RC H A N TA B I L I TY, FITNESS FOR A PA RT I C U LAR PURPOSE, Q U I E T

A P P LY.THERE ARE NO WA R RANTIES T H AT EXTEND BEYOND T H O S E
DESCRIBED IN THIS DOCUMENT AND NO PRIOR STAT E M E N TS BY ANY
OF DINEX’S REPRESENTATIVES SHALL MODIFY OR EXPAND T H E S E
WA R RA N T I E S . DINEX AND DINEX’S AFFILIATES AND REPRESENTAT I V E S
SHALL HAVE NO LIABILITY TO CUSTOMER FOR (1) ANY SPECIAL, P U N I-
T I V E, I N C I D E N TA L , INDIRECT OR CONSEQUENTIAL DAMAGES ARISING
OUT OF OR IN CONNECTION WITH THE WA R RANTED PRO D U C TS ,
REGARDLESS OF WHETHER SUCH LIABILITY SHALL BE CLAIMED IN
CO N T RAC T,TO RT, E Q U I TY OR OT H E RW I S E, (2) ANY ASSISTANCE NOT
REQUIRED UNDER DINEX’S QUOTATION OR (3) ANYTHING OCC U R R I N G
AFTER THE WA R RA N TY PERIOD ENDS.
DINEX’S STANDARD WA R RANTIES ONLY APPLY TO END-USER-PUR-
CHASERS LO CATED IN THE UNITED STATES AND CA N A D A . ANY SALE TO
E N D - U S E R - P U RCHASERS OUTSIDE THE UNITED STATES AND CA N A D A
WILL BE SUBJECT TO CO M M E RCIAL TERMS SPECIFICA L LY AGREED BY
DINEX AND THE END-USER PURC H A S E R . DINEX MAKES NO WA R RA N TY,
EXPRESS OR IMPLIED,TO END-USER-PURCHASERS OUTSIDE THE UNITED
S TATES OR CANADA UNLESS OT H E RWISE EXPRESSLY AGREED IN W R I T I N G .
These wa rra nties do not apply to, and Di n ex shall not have any obliga-
tion to Cu s tomer hereunder with re s pe ct to, a ny wa rra nty claim re s u l t-
ing from or arising out of: (i) normal wear and te a r;(ii) damage ca u s e d
by shipping or accident ; (iii) damage caused by impro per installat i o n ,
repair or alte ration not pe rfo rmed by Di n ex ; (iv) the use of the
Wa rra nted Prod u ct in co m b i n ation with any softwa re, too l s, h a rdwa re,
e q u i p m e nt, s u p p l i e s, a c ce s s o ries or any other mate rials or serv i ce s, n o t
f u rnished by Di n ex or re commended in writing by Di n ex ; (v) the use of
the Wa rra nted Prod u ct in a manner or env i ro n m e nt, or for any pur-
po s e, for which Di n ex did not design or license it, or inco n s i s te nt with
Di n ex’s re co m m e n d ations or instru ctions on use including, but not lim-
i ted to, power supply re q u i re m e nts identified in Prod u ct Spe c i f i cat i o n s ;
(vi) any alte rat i o n , m od i f i cation or enhance m e nt of the Wa rra nte d
Prod u ct by Cu s tomer or any third party not authori zed or approved in
w riting by Di n ex ; (vii) Wa rra nted Prod u ct manufact u red to meet cus-
tomer spe c i f i cations or designs; or (viii) any acce s s o ries or supplies or
other equipment or prod u cts that may be delive red with the
Wa rra nted Prod u ct .
In addition, these wa rra nties do not cove r:(i) Any defe ct or deficiency
(including failure to co n fo rm to Prod u ct Spe c i f i cations) that re s u l t s, i n
whole or in part, f rom any impro per sto rage or handling, f a i l u re to
m a i ntain the Wa rra nted Prod u cts in the manner descri bed in any
a p p l i cable instru ctions or spe c i f i cat i o n s, i n a d e q u ate back-up or viru s
p ro te ction or any cause exte rnal to the Wa rra nted Prod u cts or beyo n d
Di n ex’s reasonable co nt ro l , i n c l u d i n g, but not limited to, power failure
and failure to keep Cu s to m e r’s site clean and free of dust, sand and
other particles or debri s ; (ii) the pay m e nt or re i m b u r s e m e nt of any
f a c i l i ty costs arising from repair or re p l a ce m e nt of the Wa rra nte d
Prod u ct s ; (iii) any adjustment, such as alignment, ca l i b rat i o n , or other
n o rmal preve nt at i ve mainte n a n ce re q u i red of Cu s to m e r; and (iv)
ex pendable supply ite m s.
