Arb i trat i on and D i spute Resolut i on
To the extent not precluded by law, any cla i m, d i spute, controversy
or d i sagreement (whether for breach of warranty, breach of
contract, tort ( i nclud i ng negl i gence), under a statute or under any
other law or form of act i on) aga i nst any of the Related Part i es
ar i s i ng out of , or otherw i se relat i ng to : ( i ) th i s warranty ; ( ii ) the
DAV Product ; ( iii ) any oral or wr i tten representat i ons, statements,
brochures, press releases, advert i s i ng, announcement, po i nt of
sale d i splay, or promot i onal mater i al relat i ng to the DAV Product ;
( i v) the relat i onsh i ps that result from th i s warranty, (the forego i ng
cla i ms, d i sputes controvers i es and d i sagreements are collect i vely
referred to as the “ D i spute ” ), shall be referred to any resolved by
fi nal and b i nd i ng arb i trat i on (to the exclus i on of the courts) . To
the extent not precluded by law, you agree to wa i ve any r i ght that
you may have to commence or part i c i pate i n any representat i ve
or class proceed i ng aga i nst the Related Part i es relat i ng to any
D i spute . If any where appl i cable and to the extent not preculded
by law, you further agree to opt out of any such representat i ve or
class proceed i ngs . Arb i trat i on of any D i spute w i ll be conducted i n
the forum and i n the manner as agreed to between you and TCL .
Fa i l i ng such agreement, the arb i trat i on w i ll be conducted by one
arb i trator pursuant to the laws and rules relat i ng to arb i trat i on
generally i n force i n the j ur i sd i ct i on i n wh i ch you res i de at the t i me
that the D i spute ar i ses . To the extent not precluded by law, no
cla i m, d i spute, controversy or d i sagreement of any other person
may be j o i ned or comb i ned w i th any D i spute by you, w i thout the
pr i or wr i tten consent of TCL .
G eneral Prov i s i ons
If and to the extent that any prov i s i on of th i s l i m i ted
warranty should generally be found to be unenforceable, the
unenforceable prov
i s i on shall be severed from the warrany
and deemed not to form part of the warranty . The rema i n i ng
prov i s i ons of th i s warranty shall be and rema i n val i d and
enforceable . If and to the extent that any prov i s i on of th i s
l i m i ted warranty as i t relates to any of the Related Part i es i s
found to be i nval i d or unenforceable i n respect of that party
(the “ Excluded Party ” ), the Excluded Party shall be deemed
to be severed or excluded from the prov i s i on, and the prov i s i on
shall rema i n val i d, enforceable and appl i cable i n respect of the
other or rema i n i ng Related Part i es .
To the extent perm i tted by law, th i s l i m i ted warranty shall
be governed and construed i n accordance w i th the laws of
Ontar i o .
Cr i t i cal Appl i cat i ons
The DAV Product you have purchased i s not des i gned for any
“ cr i t i cal appl i cat i ons .” “ Cr i t i cal appl i cat i ons ” means l i fe support
systems, med i cal appl i cat i ons, connect i ons to i mplanted
med i cal dev i ces, commerc i al transportat i on, nuclear fac i l i t i es
or systems or any other appl i cat i ons where DAV Product fa i lure
could lead to i n j ury to persons or loss of l i fe or catastroph i c
property damage .
IF THE CU S TOMER U S E S THE DAV PRODUCT IN ANY
CRITICAL APPLICATION, THE CU S TOMER-AND NOT TCL,
IT S AFFILIATE S , ADRs OR A S Ps - A SS UME S OLE AND FULL
RE S PON S I B ILITY FOR S UCH U S E . TCL RE S ERVE S THE
RIGHT TO REFU S E TO S ERVICE ANY DAV PRODUCT U S ED
IN A CRITICAL APPLICATION . TCL, IT S AFFILIATE S , ADRs
and A S Ps HERE B Y DI S CLAIM ANY AND ALL LIA B ILITY,
