OROTHERTHEORY.Theforegoingdisclaimerof

certaindamagesandlimitationofliabilitywillapply

tothemaximumextentpermittedbyapplicablelaw.

Thelawsofsomestates/jurisdictionsdonotallow

exclusionorlimitationofcertaindamages.Tothe

extentthatthoselawsapplytotheProduct,the

exclusionsandlimitationssetforthabovemaynot

applytoCustomer.

Section 4.  Miscellaneous
4.1 

Proprietary  Rights.

  The Product and

anyaccompanyingSoftwareanddocumentation

providedwiththeProductincludeproprietaryand

intellectualpropertyrightsofSynologyanditsthird

partysuppliersandlicensors.Synologyretainsand

reservesallright,title,andinterestintheintellectual

propertyrightsoftheProduct,andnotitletoor

ownershipofanyintellectualpropertyrightsinor

to the Product, any accompanying Software or

documentationandanyothergoodsprovidedunder

thisWarrantyistransferredtoCustomerunderthis

Warranty.Customerwill(a)complywiththeterms

andconditionsoftheSynologyenduserlicense

agreementaccompanyinganySoftwarefurnished

bySynologyoranauthorizedSynologydistributor

orreseller;and(b)notattempttoreverseengineer

anyProductorcomponentthereoforaccompanying

Softwareorotherwisemisappropriate,circumventor

violateanyofSynology'sintellectualpropertyrights.

4.2 

Assignment.

Customerwillnotassignany

ofitsrightsunderthisWarrantydirectly,byoperation

oflaworotherwise,withoutthepriorwrittenconsent

ofSynology.

4.3 

No Additional Terms.

Exceptasexpressly

permittedbythisWarranty,neitherpartywillbe

boundby,andeachpartyspecificallyobjectsto,

anyterm,conditionorotherprovisionthatconflicts

withtheprovisionsofthisWarrantythatismade

bytheotherpartyinanypurchaseorder,receipt,

acceptance, confirmation, correspondence or

otherwise,unlesseachpartyspecificallyagreesto

suchprovisioninwriting.Further,ifthisWarranty

conflictswithanytermsorconditionsofanyother

agreemententeredintobythepartieswithrespect

totheProduct,thisWarrantywillprevailunlessthe

otheragreementspecificallyreferencesthesections

ofthisWarrantythatitsupersedes.

4.4 

Applicable  Law.

  Unless expressly

prohibitedbylocallaw,thisWarrantyisgoverned

bythelawsoftheStateofWashington,U.S.A.

withoutregardtoanyconflictoflawprinciplestothe

contrary.The1980U.N.ConventiononContracts

fortheInternationalSaleofGoodsoranysuccessor

theretodoesnotapply.

4.5 

Dispute  Resolution.

  Any dispute,

controversyorclaimarisingoutoforrelatingto

thisWarranty,theProductorservicesprovided

by Synology with respect to the Product or the

relationshipbetweenCustomersresidingwithin

theUnitedStatesandSynologywillberesolved

exclusively and finally by arbitration under the

currentcommercialrulesoftheAmericanArbitration

Association,exceptasotherwiseprovidedbelow.

Thearbitrationwillbeconductedbeforeasingle

arbitrator,andwillbelimitedsolelytothedispute

betweenCustomerandSynology.Thearbitration,

oranyportionofit,willnotbeconsolidatedwith

anyotherarbitrationandwillnotbeconductedon

aclass-wideorclassactionbasis.Thearbitration

shallbeheldinKingCounty,Washington,U.S.A.

bysubmissionofdocuments,bytelephone,online

orinpersonasdeterminedbythearbitratoratthe

requestoftheparties.Theprevailingpartyinany

arbitrationorlegalactionoccurringwithintheUnited

States or otherwise shall receive all costs and

reasonableattorneys’fees,includinganyarbitration

fee paid by the prevailing party.Any decision

renderedinsucharbitrationproceedingswillbe

final and binding on the parties, and judgment

maybeenteredthereoninanycourtofcompetent

jurisdiction. Customer understands that, in the

absenceofthisprovision,Customerwouldhavehad

arighttolitigateanysuchdispute,controversyor

claiminacourt,includingtherighttolitigateclaims

onaclass-wideorclass-actionbasis,andCustomer

expresslyandknowinglywaivesthoserightsand

agreestoresolveanydisputesthroughbinding

arbitrationinaccordancewiththeprovisionsofthis

Section4.5.ForCustomersnotresidingwithinthe

UnitedStates,anydispute,controversyorclaim

describedinthissectionshallbefinallyresolvedby

arbitrationconductedbythreeneutralarbitrators

inaccordancewiththeproceduresoftheR.O.C.

ArbitrationLawandrelatedenforcementrules.The

arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,

andthearbitrationproceedingsshallbeconducted

inEnglishor,ifbothpartiessoagree,inMandarin

Chinese.Thearbitrationawardshallbefinaland

bindingonthepartiesandmaybeenforcedinany

courthavingjurisdiction.NothinginthisSection

shallbedeemedtoprohibitorrestrictSynology

fromseekinginjunctiverelieforseekingsuchother

rightsandremediesasitmayhaveatlaworequity

foranyactualorthreatenedbreachofanyprovision

ofthisWarrantyrelatingtoSynology'sintellectual

propertyrights.

4.6 

Attorneys'  Fees.

 In any arbitration,

mediation,orotherlegalactionorproceedingto

enforcerightsorremediesunderthisWarranty,the

prevailingpartywillbeentitledtorecover,inaddition

toanyotherrelieftowhichitmaybeentitled,costs

andreasonableattorneys'fees.

4.7 

Export Restrictions.

 You acknowledge

thattheProductmaybesubjecttoU.S.export

restrictions.Youwillcomplywithallapplicablelaws

andregulationsthatapplytotheProduct,including

withoutlimitationtheU.S.ExportAdministration

Regulations.

4.8 

Severability.

  If any provision of this

Warrantyisheldbyacourtofcompetentjurisdiction

tobeinvalid,illegal,orunenforceable,theremainder

ofthisWarrantywillremaininfullforceandeffect.
