12. ENTIRE AGREEMENT . This Agreement and any written agreement executed by Teltronics and You for the supply of the Software and related Products represent
the entire agreement between Teltronics and You and supersede all prior oral and written communications, agreements, promises, and understandings concerning the
Software and related Products. In the event of any conflict between the terms of any written agreement executed by You and Teltronics and those of this Agreement,
the terms of this Agreement shall prevail. Terms and conditions as set forth in any purchase order which differ from, conflict with, or are not included in this Agreement,
shall not become part of this Agreement unless specifically accepted by Teltronics in writing.
