YOU MAY INCURAND WHETHER BASED ON

certaindamagesandlimitationofliabilitywillapply
tothemaximumextentpermittedbyapplicablelaw.
Thelawsofsomestates/jurisdictionsdonotallow
theexclusionofimpliedwarrantiesortheexclusion
orlimitationofcertaindamages.Totheextentthat
thoselawsapplytothisEULA,theexclusionsand
limitationssetforthabovemaynotapplytoyou.
Section 14. Export Restrictions.   You
acknowledgethattheSoftwareissubjecttoU.S.
exportrestrictions.Youagreetocomplywithall
applicablelawsandregulationsthatapplytothe
Software, including without limitation the U.S.
ExportAdministrationRegulations.
Section 15. Termination. Withoutprejudiceto
anyotherrights,SynologymayterminatethisEULA
ifyoudonotabidebythetermsandconditions
containedherein.Insuchevent,youmustcease
useoftheSoftwareanddestroyallcopiesofthe
Softwareandallofitscomponentparts.
Section 16. Assignment. Youmaynottransfer
orassignyourrightsunderthisEULAtoanythird
party,exceptforthatpre-installedintheProducts.
Anysuchtransferorassignmentinviolationofthe
foregoingrestrictionwillbevoid.
Section 17. Applicable Law. Unlessexpressly
prohibitedbylocallaw,thisEULAisgovernedby
andconstruedinaccordancewiththelawsofthe
RepublicofChina(R.O.C.orTaiwan)withoutregard
toanyconflictoflawprinciplestothecontrary.
Section 18. Dispute Resolution. Anydispute,
controversyorclaimarisingoutoforrelatingtothis
EULAwillberesolvedexclusivelyandfinallyby
arbitrationconductedbythreeneutralarbitrators
inaccordancewiththeproceduresoftheR.O.C.
ArbitrationLawandrelatedenforcementrules..
In such cases, the arbitration will be limited
solelytothedisputebetweenyouandSynology.
The arbitration, or any portion of it, will not be
consolidated with any other arbitration and will
notbeconductedonaclass-wideorclassaction
basis.ThearbitrationshalltakeplaceinTaipei,
Taiwan,R.O.C.,andthearbitrationproceedings
shallbeconductedinEnglishor,ifbothpartiesso
agree,inMandarinChinese.Thearbitrationaward
shallbefinalandbindingonthepartiesandmay
beenforcedinanycourthavingjurisdiction.You
understandthat,intheabsenceofthisprovision,
youwouldhavehadarighttolitigateanysuch
dispute,controversyorclaiminacourt,including
therighttolitigateclaimsonaclass-wideorclass-
action basis, and you expressly and knowingly
waives those rights and agrees to resolve any
disputesthroughbindingarbitrationinaccordance
withtheprovisionsofthisSection18.Nothingin
thisSectionshallbedeemedtoprohibitorrestrict
Synologyfromseekinginjunctiverelieforseeking
suchotherrightsandremediesasitmayhaveat
laworequityforanyactualorthreatenedbreach
ofanyprovisionofthisEULArelatingtoSynology's
intellectualpropertyrights.
Section 19. Attorneys' Fees. Inanyarbitration,
mediation,orotherlegalactionorproceedingto
enforcerightsorremediesunderthisEULA,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
Section 20. Severability. Ifanyprovisionofthis
EULAisheldbyacourtofcompetentjurisdictionto
beinvalid,illegal,orunenforceable,theremainder
ofthisEULAwillremaininfullforceandeffect.
Section 21. Entire Agreement.  This EULA
setsforththeentireagreementofSynologyand
youwithrespecttotheSoftwareandthesubject
matter hereof and supersedes all prior and
contemporaneousunderstandingsandagreements
whetherwrittenororal.Noamendment,modification
orwaiverofanyoftheprovisionsofthisEULAwill
bevalidunlesssetforthinawritteninstrument
signedbythepartytobeboundthereby.
