acknowledgethattheSoftwareissubjecttoU.S.
exportrestrictions.Youagreetocomplywithall
applicablelawsandregulationsthatapplytothe
Software, including without limitation the U.S.
ExportAdministrationRegulations.
Section 15. U.
S. GovernmentLicenseRights.
AllSoftwareprovidedtotheU.S.Governmentis
providedwiththecommerciallicenserightsand
restrictionsdescribedinthisEULA.Byinstalling,
copyingorusingtheSoftware,theU.S.Government
agreesthattheSoftwareis"commercialcomputer
software" or "commercial computer software
documentation"withinthemeaningofFARPart12.
Section 16. Termination.
Withoutprejudiceto
anyotherrights,SynologymayterminatethisEULA
ifyoudonotabidebythetermsandconditions
containedherein.Insuchevent,youmustcease
useoftheSoftwareanddestroyallcopiesofthe
Softwareandallofitscomponentparts.
Section 17. Assignment.
Youmaynottransfer
orassignyourrightsunderthisEULAtoanythird
party.Anysuchtransferorassignmentinviolation
oftheforegoingrestrictionwillbevoid.
Section 18. Applicable Law.
Unlessexpressly
prohibited by local law, this EULA is governed
bythelawsoftheStateofWashington,U.S.A.
withoutregardtoanyconflictoflawprinciplestothe
contrary.The1980U.N.ConventiononContracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
Section 19. Dispute Resolution.
Anydispute,
controversyorclaimarisingoutoforrelatingto
thisWarranty,theSoftwareorservicesprovided
bySynologywithrespecttotheSoftwareorthe
relationship between you and Synology will be
resolvedexclusivelyandfinallybyarbitrationunder
the current commercial rules of theAmerican
ArbitrationAssociationifyouresideintheUnited
States, except as otherwise provided below. In
suchcases,thearbitrationwillbeconductedbefore
asinglearbitrator,andwillbelimitedsolelytothe
disputebetweenyouandSynology.Thearbitration,
oranyportionofit,willnotbeconsolidatedwith
anyotherarbitrationandwillnotbeconductedon
aclass-wideorclassactionbasis.Thearbitration
shallbeheldinKingCounty,Washington,U.S.A.
bysubmissionofdocuments,bytelephone,online
or in person as determined by the arbitrator at
therequestoftheparties.Theprevailingpartyin
anyarbitrationorlegalactionoccurringwithinthe
UnitedStatesorotherwiseshallreceiveallcosts
and reasonable attorneys’ fees, including any
arbitrationfeepaidbytheprevailingparty.Any
decisionrenderedinsucharbitrationproceedings
will be final and binding on the parties, and
judgmentmaybeenteredthereoninanycourtof
competentjurisdiction.Youunderstandthat,inthe
absenceofthisprovision,youwouldhavehada
righttolitigateanysuchdispute,controversyor
claiminacourt,includingtherighttolitigateclaims
on a class-wide or class-action basis, and you
expresslyandknowinglywaivesthoserightsand
agreestoresolveanydisputesthroughbinding
arbitrationinaccordancewiththeprovisionsof
thisSection19.Ifyoudonotresidewithinthe
UnitedStates,anydispute,controversyorclaim
describedinthisSectionshallbefinallyresolved
