KNAUER Software License Agreement

KNAUER Software License Agreement

between

KNAUER Wissenschaftliche Geräte GmbH,
Hegauer Weg 38, D-14163 Berlin

(hereinafter Licensor or KNAUER)

and the software user (hereinafter Licensee)

for the software package

EuroOsmo

®

7400 V1.5 and handbooks.

In return for acquiring a license to use the software ("EuroOsmo

®

7400

V1.5") and related documentation, Licensee agrees to the following terms
and conditions:

1. License.

This agreement grants the Licensee a license to

(a) use the EuroOsmo

®

7400 V1.5 on a single computer system or, in

the case of a multi-user or networked system which permits access
to the EuroOsmo

®

7400 V1.5 by more than one user at the same

time, at one (1) single working location, and

(b) make one copy of the EuroOsmo

®

2000 V1.2 in machine readable

form solely for back-up purposes provided your reproduce
KNAUER´s copyright proprietary legends and mark the back-up
copy with the express wording "back-up copy Knauer GmbH,
Hegauer Weg 38, D-14163 Berlin".

2. Restrictions.

Licensee may not distribute copies of the EuroOsmo

®

7400 V1.5 to others

or electronically transfer the EuroOsmo

®

7400 V1.5 from one computer to

another over a network. Licensee may not use the EuroOsmo

®

7400 V1.5

from multiple locations of a multi-user or networked system at any time.
The EuroOsmo

®

7400 V1.5 contains trade secrets and in order to protect

them the Licensee may not decompile, reverse engineer, disassemble, or
otherwise reduce the Software to a human-perceivable form: LICENSEE
MAY NOT MODIFY, ADAPT, TRANSLATE, RENT, LEASE, LOAN,
RESELL FOR PROFIT, DISTRIBUTE, NETWORK OR ANY DERIVATIVE
WORKS BASED UPON THE SOFTWARE OR ANY PART THEREOF.
The Licensee must not remove from the program firm names, trademarks,
logos, copyright notices and other markings or devices, which serve the
protection of the program.

3. Ownership of EuroOsmo

®

7400 V1.5.

Licensee owns the media upon which the EuroOsmo

®

7400 V1.5 is

recorded or fixed, but KNAUER, Licensor, retains title and ownership of
the EuroOsmo

®

7400 V1.5 recorded on the original media and all

subsequent copies of the EuroOsmo

®

7400 V1.5, regardless of the form

or media in which or on which the original and other copies may exist.
This license is not a sale of the EuroOsmo

®

7400 V1.5 or any copy.

4. Confidentiality.

Licensee agrees to maintain the EuroOsmo

®

7400 V1.5 in confidence and

to not disclose the EuroOsmo

®

7400 V1.5 to any third party without the

express written consent of KNAUER. Licensee further agrees to take all
reasonable precautions to preclude access of unauthorized persons to
the EuroOsmo

®

7400 V1.5.The Licensee must not pass copies of the

program or the handbook to third persons.

5. Term.

This license is effective until January 1, 2030, unless terminated earlier.
Licensee may terminate the license at any time by destroying the
